Scope: This Disclaimer applies to the ZKE Exchange website, app, H5 pages, APIs and related services (collectively, the “Services”) operated by ZKE Global Limited and its affiliates (collectively, “ZKE”, “we”, “us”, or the “Platform”).
By using the Services, you confirm that you have read, understood, and agreed to this Disclaimer. If you do not agree, please stop using the Services immediately.
1. Key Risk Warnings (Please Read Carefully)
- High-Risk Trading Digital asset trading involves significant risk and extreme price volatility. You may lose part or all of your funds. You should participate only after fully understanding the risks and making independent decisions.
- Market & Liquidity Risks Digital asset markets may experience low liquidity, price gaps, widened slippage, order execution delays, or failed execution. In extreme conditions, risk controls (e.g., price protection, cancellations, throttling) may affect execution.
- Leverage/Derivatives Risks (If Offered) Leveraged or derivatives trading carries amplified risks. Margin shortfalls, forced liquidation, auto-deleveraging, funding rate changes, and rapid price movements may cause rapid losses, including loss of all margin.
- On-Chain & Technical Risks Blockchain networks may face congestion, delays, reorganizations, forks, consensus attacks, or smart contract vulnerabilities, which can lead to delayed deposits/withdrawals, losses, or irreversibility. Once a transfer is confirmed on-chain, it is generally irreversible.
- Regulatory & Compliance Risks Laws and regulatory policies may change. Digital asset services may be restricted, suspended, or prohibited in certain jurisdictions. You are responsible for ensuring your use of the Services is lawful in your location and for any consequences.
- No Investment Advice Market data, information, research, announcements, and any content provided by the Platform are for general reference only and do not constitute investment, financial, legal, or tax advice. You bear full responsibility for your decisions.
2. Service Disclaimers
To the maximum extent permitted by law, the Platform shall not be liable for (except where mandatory law requires otherwise):
- Loss of Profit or Indirect Losses Including but not limited to loss of profits, revenues, opportunities, expected savings, goodwill or reputation, data/information, business interruption, or costs of substitute products/services.
- Market Data & Information Market prices, indices, charts, depth, trades, and fees may be sourced from third parties or aggregated and may be delayed, inaccurate, interrupted, or incomplete. No guarantee is made regarding accuracy, timeliness, or fitness for purpose. Your actual fills and account records prevail.
- Systems, Networks & Maintenance No liability for interruptions, delays, failures, or anomalies caused by maintenance, upgrades, network/telecom failures, hardware issues, third-party outages, hacking, malware, DDoS, or unforeseen technical issues.
- Third-Party Services & Links The Platform may integrate or link to third-party services (payments, KYC, messaging, nodes, wallets, explorers, etc.). Their availability and security are the responsibility of third parties. You assume related risks.
- User’s Own Actions/Factors Losses arising from compromised passwords/2FA/API keys/devices, unauthorized access due to your reasons, delegation to others, mistakes (e.g., wrong address/network/chain), or failure to complete required verification are your responsibility.
- Abnormal Events & Risk Controls In cases of system faults, abnormal quotes, obvious mispricing, market anomalies, suspected violations, security risks, or compliance reviews, the Platform may restrict trading, cancel/correct transactions, suspend deposits/withdrawals, freeze accounts, or request additional information. You acknowledge such measures may be necessary. Except as required by law, the Platform is not liable for resulting losses.
3. Force Majeure
The Platform is not liable for failure or delay caused by force majeure, including natural disasters, war, riots, terrorism, government actions or regulatory measures, public health emergencies, large-scale network/power outages, telecom failures, third-party infrastructure failures, hacking incidents, and major system failures.
4. Limitation of Liability (Cap)
To the maximum extent permitted by law, if the Platform is found liable due to fault, the Platform’s aggregate liability for a single disputed matter is capped at the total service fees you actually paid to the Platform in the most recent three (3) months relating to that matter (unless mandatory law provides otherwise).
5. User Acknowledgements
You represent that:
- you have full legal capacity and required qualifications to use the Services;
- you understand the risks and can bear all losses;
- you comply with laws/regulations in your jurisdiction;
- you will not use the Services for money laundering, fraud, terrorist financing, sanctions evasion, market manipulation, or other illegal conduct.
6. Governing Law & Dispute Resolution
This Disclaimer is generally governed by the laws applicable to the place of establishment/operation of ZKE Global Limited, subject to any mandatory laws. Disputes shall be resolved first by friendly consultation; failing that, submitted to a court of competent jurisdiction. Where permitted, the Platform may also seek remedies in a court where you or your assets are located.
7. Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
